Chapter 1. General provisions

Article 1. Purpose

These Terms set out the rights, obligations and responsibilities of 주식회사 제로투원 (the “Company”) and members who join and use “Staysync,” the online accommodation reservation management service provided by the Company (the “Service”). The Service includes all services provided by the Company, regardless of the type of wired or wireless device used to access them. A “Member” means a Service user who agrees to these Terms and completes membership registration.

Article 2. Publication, effect and amendment of these Terms

① The Company posts these Terms on the Service’s initial screen so Members can readily access them.

② The Company may amend these Terms to the extent permitted by applicable laws, including the Online Digital Content Industry Development Act, the Act on Consumer Protection in Electronic Commerce, the Act on the Regulation of Terms and Conditions and the Framework Act on Consumers.

③ When amending these Terms, the Company will publish the existing and amended Terms, the effective date and the reasons for amendment on the Service website together with the current Terms, from fifteen (15) days before the effective date until a reasonable period thereafter. If the amendment is unfavorable to Members, this period begins thirty (30) days before the effective date. Existing Members will also be notified by sending the amended Terms to the email address assigned by the Company.

④ If, in giving notice under the preceding paragraph, the Company clearly states that failure to object from the date of announcement or notification through seven days after the amended Terms take effect will be deemed acceptance, a Member who does not express an objection is deemed to accept the amended Terms. A Member who disagrees may terminate the agreement under Article 17(1).

Chapter 2. Membership registration and management

Article 3. Registration procedure

① A Service user is deemed to agree to these Terms by reading them and pressing an “Agree” button or checking a “Confirm” box or taking an equivalent action.

② After agreeing under paragraph 1, a user registers by entering the required information, including a Member ID, in the Company’s online registration form and pressing “Register” or “Confirm.” The Company may request separate documents when it considers them necessary.

③ Corporate applicants must submit the additional documents specified by the Company, in addition to the application and payment of Service fees.

④ If a corporate Service user and the person paying the fees are different, the Company may require supporting documents to verify this.

Article 4. Establishment, deferral and refusal of registration

① Membership is established by the user’s application under Article 3 and the Company’s acceptance. When an applicant has faithfully completed the required information and submitted the application, the Company shall verify the necessary matters and accept it without delay, except where separate supporting materials are required.

② The Company may defer acceptance in any of the following cases.

1. There is insufficient available capacity in the Service facilities.

2. The Company determines there is a technical difficulty in providing the Service.

3. A corporate applicant has not fulfilled the obligations under Article 3(3) or (4).

4. The Company otherwise considers deferral necessary for financial or technical reasons.

③ The Company may refuse registration in any of the following cases.

1. The applicant provides false information or attaches false documents.

2. A corporate applicant fails to fulfill the obligations under Article 3(3) or (4) within a period separately specified by the Company.

3. A child under 14 has not obtained consent from a parent or other legal representative to provide personal information.

5. A person whose agreement the Company terminated under Article 17(2) applies again.

Article 5. Responsibility for Member IDs and related information

① Members are responsible for managing their IDs and passwords and for any disadvantage caused by their intent or negligence, including unauthorized use of an ID by a third party. The Company is responsible where the cause is the Company’s intent or negligence.

② If a Member learns that an ID, password or additional information has been stolen or is being used by a third party, the Member shall immediately take measures such as changing the password, notify the Company and follow its instructions.

Article 6. Collection of personal information

The Company collects the personal information necessary to provide the Service from Members in accordance with applicable laws.

Article 7. Changes to Member information

When any of the following information changes, a Member shall immediately update it on the Member information management page. The Company is not responsible for damage resulting from a Member’s failure to update this information. Corporate Members may use a method separately specified by the Company.

Email address, telephone number and similar information.

Other information voluntarily supplied when joining.

Chapter 3. Use of the Service

Article 8. Use of the Service

① Use is available immediately after the Company approves access. For paid services, access may begin after the Company confirms payment.

② Members who are minors under the Civil Act must obtain the consent of their legal representative before paying for a paid service.

③ In principle, the Service is available 24 hours a day (00:00–24:00), every day of the year, except where business or technical circumstances make this impossible. The Company may specify separate dates and times for certain portions of the Service for reasons such as regular facility inspections.

Article 9. Notice of changes to Service content

① Where Service content changes or the Service ends due to expiration of a contract with a content provider (CP), a change of CP, changes in Service or Member policies, introduction of a new service or similar reasons, the Company may notify Members by email to their registered addresses. Members may need to log in again or complete an additional consent procedure to facilitate Service or policy changes.

② For notices to unspecified groups of Members, the Company may use its website or other announcement pages. Matters materially affecting a Member’s own transactions shall be posted on a bulletin board for a reasonable period and individually notified by email or, if there is no email address, another electronic means such as an in-Service notification.

③ If a paid service ends, Members using it shall be notified by email under paragraph 1, and refunds shall be handled under Article 16(4).

Article 10. Ownership of rights and use of works

① Copyright in posts and other content posted by a Member within the Service (“Posts”) belongs to the author.

② Posts may appear on the Company’s websites and mobile applications, in search results and in related promotions. They may be partly modified, reproduced or edited to the extent needed for that display. The Company complies with copyright law. Members may at any time use customer support or the management function in each service to delete Posts, exclude them from search results or make them private.

③ Before using Posts in a manner other than that described in paragraph 2, the Company obtains the Member’s consent by telephone, fax, email or a similar method.

Article 11. Restrictions and suspension of Service use

① The Company may restrict or suspend a Member’s use in any of the following cases.

1. The Member intentionally or negligently interferes with operation of the Service.

2. The Member violates the obligations under Article 13.

3. Inspection, maintenance or construction of Service facilities makes this unavoidable.

4. A facilities-based telecommunications operator under the Telecommunications Business Act suspends telecommunications services.

5. A national emergency, facility failure or surge in use disrupts the Service.

6. The Company considers continued provision inappropriate for another significant reason.

② When restricting or suspending use under the preceding paragraph, the Company shall inform the Member of the reason and restriction period.

③ If the Company decides to terminate the agreement and withdraw a Member under Article 17(2), it will notify the Member before processing withdrawal. The Member has an opportunity to object within 30 days of receiving the notice.

④ Under the Act on Promotion of Information and Communications Network Utilization and Information Protection (the “Network Act”), a Member or third party whose rights are infringed by another Member’s public Posts, including invasion of privacy or defamation (a “Removal Applicant”), may substantiate the infringement and request removal or publication of a rebuttal. Where the Company cannot determine whether rights have been infringed or anticipates a dispute, it will temporarily block access to the Posts (“Temporary Measures”) for up to 30 days.

⑤ A Member whose Posts are subject to Temporary Measures under paragraph 5 (the “Poster”) may request their restoration during the Temporary Measures period (a “Reposting Request”). If both the Poster and Removal Applicant agree to a review by the Korea Communications Standards Commission concerning defamation or other issues, the Company will submit the request on their behalf. Without that consent, the Company will decide whether to restore the Posts. If a Reposting Request has been made and the Commission or Company makes a decision within the Temporary Measures period, that decision applies. If no decision is made during that period, the Posts will be restored after the period expires. Without a Reposting Request, the Posts will be deleted after that period.

⑥ If the Company considers Posts to infringe third-party rights such as privacy or reputation, it may take Temporary Measures even without a report by a Member or third party under paragraph 5 (“Discretionary Temporary Measures”). The procedures in the latter part of paragraph 5 and in paragraph 6 apply to these Posts.

⑦ If another Member or third party takes civil or criminal legal action against a Member or the Company based on infringement of legally protected interests caused by Posts, such as a criminal complaint, application for an injunction or damages claim, the Company may provisionally restrict access until a final court judgment is issued. The person requesting action against the Posts bears responsibility for substantiating the legal action and the final judgment.

Article 12. Obligations of the Company

① The Company shall diligently maintain, inspect and restore its Service and security facilities as appropriate for continuous and stable provision.

② The Company will not send commercial advertising emails, SMS messages or similar communications to Members who have not consented to receive them.

③ The Company will not disclose or distribute to a third party, without the Member’s consent, personal information learned through provision of the Service, and will endeavor to protect it. Other personal-information matters are governed by the Network Act and the Company’s separately established Personal Information Management Guidelines.

④ When providing services under an agreement with a third party, the Company identifies the specific Member information to be supplied to that party for each service and obtains the Member’s separate, express consent. It shares information only within that consent and for the service provision period, in compliance with applicable laws.

Article 13. Obligations of Members

① Members shall not engage in any of the following acts.

1. Registering false information when applying for membership or making changes.

2. Altering information posted in the Service, or using information obtained through it for reproduction, publication, broadcasting or other commercial or noncommercial purposes, or providing it to third parties, without the Company’s prior approval.

3. Receiving money by offering third parties promotional opportunities through the Service, promoting third parties on their behalf, or transferring the right to use the Service for payment.

4. Posting false statements about the Company or a third party, infringing intellectual property rights or otherwise violating their rights.

5. Improperly using the Service with another Member’s stolen ID or password.

6. Using another person’s payment information, including bank account or credit card numbers, without permission to use the Company’s paid services.

7. Sending or posting information, including computer programs, whose transmission or publication is prohibited by the Network Act or other applicable laws.

8. Posting media harmful to young people as defined by the Youth Protection Act.

9. Distributing information, text, images, sounds or other content contrary to public order or accepted standards of decency.

10. Posting or emailing while impersonating Company staff, a Service administrator or another person.

11. Posting or emailing material containing software viruses or other code, files or programs designed to disrupt or destroy the normal operation of computer software, hardware or telecommunications equipment.

12. Collecting, storing or disclosing other Members’ personal information without consent.

13. Modifying, reverse engineering, decompiling or disassembling software provided by the Company.

14. Violating applicable laws, the terms governing Company services or other rules on Service use.

② If a Member commits an act under paragraph 1, the Company may delete or temporarily delete the relevant Posts, restrict use or unilaterally terminate this agreement.

③ Where applicable laws require adult verification for a Service, a Member must provide real-name information using the Company’s specified method to use it.

Article 14. Prohibition on transfer

A Member may not assign, give away or pledge the right to receive the Service.

Article 15. Payment of fees

① In principle, Members using a paid service shall pay the fee before using it.

② Payment methods include credit card, bank transfer and bank deposit. Available methods may differ by paid service.

③ A service billed regularly each month will continue to be billed monthly unless the Member stops using it and requests cancellation of recurring payment.

④ The Company may request additional personal information strictly necessary to perform payment, and Members shall provide it accurately. Unless the Company is at fault through intent or negligence, it is not liable for damage caused by a Member’s false or inaccurate information.

Article 16. Refunds and objections to fees

① The Company shall refund fees paid in error or in excess.

② Where a refund is attributable to the Member, the general rules are as follows. A paid service whose use or purchase is completed by a single use after payment is not refundable after that use. For a service lasting one month or less from payment, the amount remaining after deducting the charge for days used as of termination is refunded. This also applies to services billed monthly in one-month units. For a service lasting more than one month from payment, the refund excludes the amount for days used as of termination and 10% of the total remaining days of use. If termination is requested within seven days of the start of the paid service, only the amount corresponding to days used is deducted.

③ Notwithstanding paragraph 2, the full amount paid will be refunded in the following cases.

1. The Member has not used the Service after completing payment.

2. The Member cannot use the Service because of a Service failure or a cause attributable to the Company despite meeting its stated minimum technical requirements.

3. The purchased service has not been provided.

4. The service differs from its description or advertising, or there is a significant discrepancy.

5. A defect in the service makes normal use substantially impossible.

④ For a refund attributable to the Company, including the reason in paragraph 3(2) or suspension of the Service, the Company will refund the amount corresponding to the remaining days of paid use plus an additional 10% of that amount.

⑤ Members may object to fees within one month of learning of the reason and within three months of the date the reason arose.

⑥ If the Company restricts use or unilaterally terminates the agreement because a Member violates Article 13, no refund will be given.

⑦ A full refund will in principle be made through the payment method originally used. If that is impossible, or for a partial refund following early termination, the Company will use a separately specified method.

⑧ Refunds under this Article will be made within three business days from the date the refund obligation arises. Interest on delayed refunds is 11% per year. If the Member’s cooperation is required, no delay interest is paid for a delay attributable to that Member.

⑨ Refund costs are borne by the Member where the refund is attributable to the Member, and by the Company where it is attributable to the Company.

Article 17. Termination of the agreement

① Members may at any time delete their ID and withdraw through Member information management, following the Company’s procedure, to terminate the agreement.

② If a Member violates Article 13, the Company may unilaterally terminate the agreement and pursue civil or criminal liability for resulting damage to Service operation.

③ If a Member has no record of logging in to use the Service for one consecutive year, the Company may revoke membership.

④ A paid-service agreement is terminated by the Member’s application and the Company’s acceptance. Termination takes effect when accepted, and any refund due will be made under Article 16.

⑤ Where the individual terms of a paid service specify a different termination method or effect from paragraph 4, those individual terms apply.

⑥ On termination, all Posts registered to the Member’s own account are deleted. Posts copied and published by another Member or registered on a shared bulletin board are not deleted.

Chapter 4. Other provisions

As a space available to people of all ages, the Company separately implements a youth protection policy under the Network Act to protect young people from harmful information and help them use the internet safely. Details are available on the Service’s initial screen and other relevant pages.

Article 19. Commerce through bulletin boards

① Members conducting commerce as a business, including sales or brokerage, through the Service’s bulletin boards (“Bulletin Board Merchants”) shall comply with the obligations of mail-order sellers and intermediaries under the Act on Consumer Protection in Electronic Commerce (the “Electronic Commerce Act”).

② Bulletin Board Merchants shall display the identifying information required by Article 13(1)(1) and (2) of the Electronic Commerce Act using the relevant bulletin board’s input function, and provide that information to the Company.

③ If a commercial dispute arises between a Member and a Bulletin Board Merchant, the Company may provide the Merchant’s identifying information verified under the preceding paragraph at the request of any of the following.

1. A consumer dispute resolution body under Article 33 of the Electronic Commerce Act.

2. The Fair Trade Commission.

3. A city or provincial governor, or the head of a city, county or district.

④ A Member harmed by a Bulletin Board Merchant may apply for redress to the consumer dispute resolution body specified in item 1 of the preceding paragraph through the customer support page. The Company will process the application on the Member’s behalf.

4. Other causes, apart from items 1–3, not attributable to the Company’s intent or negligence.

② The Company does not warrant the reliability or accuracy of information, materials or facts posted in the Service by a content provider, a Member or otherwise, and is not responsible for Member losses arising without fault on the Company’s part.

Article 21. Resolution of disputes

These Terms are governed and performed under the laws of the Republic of Korea. Disputes between the Company and a Member concerning Service use are subject to the agreed jurisdiction of the court having jurisdiction over the relevant address under the Civil Procedure Act.

Article 22. Supplementary rules

Matters not specified in these Terms are governed by applicable laws, and matters not specified by law are governed by customary practice.

Supplementary provision
